ARTICLE 1. OUR COMMERCIAL POLICY

BONPOINT sells products in its stores by carrying out its own commercial activity exclusively with regard to consumers, end customers, hereinafter referred to as “Customer”.

BONPOINT means Bonpoint Rive Droite SAS, a simplified joint-stock company whose registered office is located at 62, avenue d'Iéna 75116 Paris, registered with the Paris Trade and Companies Register under number 348 890 476, represented by its chairman, duly authorized for this purpose.

The Client is defined as any natural person who does not operate for professional purposes or related to a business activity. Given the commercial policy described above, Bonpoint reserves the right not to respond to orders from subjects other than the Customer as defined above or to orders that do not comply with its commercial policy.

These General Terms and Conditions of Sale (hereinafter “GTC”) exclusively govern any direct sale made in Bonpoint stores to the exclusion of any other document specific to the e-commerce site or other marketing channels.

Any sales contract between the Customer and Bonpoint made in a Bonpoint store is governed by these T&Cs, which the Customer acknowledges and accepts without the sales contract being conditioned by a handwritten signature on the part of the Customer.

ARTICLE 2. PURCHASING IN A BONPOINT BOUTIQUE

The Products offered for sale are those which are available in the Boutique or in stock on the day of the Customer's visit within the limits of available stocks.

The Products are presented to consumers and the Store staff provide any additional information and a full description of their essential characteristics.

The Customer is also offered the option of placing an order online on the bonpoint.com e-commerce site, by telephone from their usual store, or of reserving their product online and collecting it from the store within the availability period which are indicated to him. In these cases, the general conditions of sale of the bonpoint.com e-commerce site, which can be consulted at any time online and specific to distance selling, remain applicable between the Parties.

ARTICLE 3. PRODUCT INFORMATION

On the Site are exclusively put on sale products of luxury brands and of first quality. These products are purchased directly by BONPOINT from fashion houses, producers and retailers carefully selected for their rigorous quality controls.

BONPOINT does not sell second-hand, defective or inferior products to the standards offered on the market.

The price of the Products is firm. The current price is that indicated on the products themselves. These prices take into account the VAT applicable on the day of the order. Any packaging and delivery costs may be invoiced in addition and, in this case, they will be specified to the Customer during the purchase process. Their amount is then fixed and fixed.

BONPOINT reserves the right, which the Customer accepts, to modify its prices at any time, without any other formality than posting the modifications on the Site. However, these changes will not affect purchases already made, subject to the availability of the Products ordered.

All products are provided with an identification label. In the event of a return, as indicated in the returns article below, it is imperative that the label and single-use seal of the products have not been removed.

In the event of exercise of the will to obtain an exchange, BONPOINT may refuse to take back any product without its label, altered in its essential or qualitative characteristics or which would have been damaged.

ARTICLE 4. PAYMENTS

For the payment of the price of the products and any associated services, the staff of the Shop accompanies the Customer with all the useful information. Only payments in cash and by means of a Bonpoint credit note or a bank card are accepted. Payments by checks are not accepted.

In case of payment by means of credit/debit card, the financial information (for example, the number of the credit/debit card or the expiry date) will be transferred by means of a cryptographic protocol, to ADYEN for the e-commerce site providing services related to remote electronic payment, without third parties being able to access it in any way. Such information will never be used by BONPOINT, except to complete the procedures related to your purchase or to issue refunds in the event of any return of the products according to the right of renunciation or if it is necessary to warn or signal to the forces police the occurrence of fraud on the Site. Under no circumstances does Bonpoint keep your bank details. Transmissions to banks are encrypted and secure.

The Customer is invited to keep his receipt.

Each of our sales is wrapped in a refined package bearing the BONPOINT logo and prepared with the greatest care: tissue paper, box or cotton pouch scented with BONPOINT water. Gifts are packed in boxes, except in exceptional cases. Indeed, Bonpoint boxes are not suitable for items that are too bulky (suitcases, certain coats, for example) or are not suitable for certain types of products (perfumes, care, plush, etc.)

The order can be made by telephone or on the internet, even with a withdrawal in store, in this case, the general conditions of sale of the e-commerce site bonpoint.com apply. When the order is made by telephone, the Customer may be asked to connect via a security link in order to proceed with the payment. The data is transmitted directly to the payment partner of the Bonpoint bank, the latter is in no way the recipient of the Customer's payment data. ARTICLE 5. EXCHANGES AND RETURNS

The provisions relating to the right of withdrawal of Article L.221-18 of the Consumer Code only apply to distance selling, orders placed by telephone or on the e-commerce site bonpoint.com. Under these conditions, if the customer wishes an exchange instead of a refund, the exchange is possible for an extended period of 45 days from the delivery of the products.

When the order is made by telephone or the e-commerce site bonpoint.com, a withdrawal in store is possible. In all cases, the products purchased can also be exchanged (only on the same item for another size) in a Bonpoint store in the country where the sale originated (excluding department stores). A credit note will be issued if the exchange is not possible. On the other hand, if the customer wishes a refund under the right of withdrawal, under the conditions of article L.221-18 of the consumer code, then he must return the item according to the procedure indicated to him in the general conditions of sale of the e-commerce site bonpoint.com applicable.

However, for sale in the Boutique, with the exception of sale products which cannot be returned or exchanged, if the Customer wishes an exchange, it will be accepted within 30 days in one of the Bonpoint boutiques in the country at the origin of the sale (excluding corners and department stores) the list of which is available on the bonpoint.com website on presentation of the receipt and only on condition that the product complies with the conditions of good condition indicated below below. All returned products are inspected. Any returned product that is incomplete, damaged, worn or dirty will not be taken back and it may, at BONPOINT's option, be returned to you at your expense or be kept. When the aforementioned conditions are met, BONPOINT will reimburse the Customer for the Product(s) returned via the means of payment used during the purchase.

ARTICLE 6. PRODUCT WARRANTY

The Customer benefits from the guarantee of conformity under articles L217-4 and following of the Consumer Code as well as the legal guarantee against hidden defects on the products, under the conditions of articles 1641 to 1649 of the Civil Code.

This means that all Bonpoint products are covered by the legal guarantee against hidden defects and that in the event of a defect not initially apparent on a product or a defect appearing under normal use, Bonpoint undertakes to take back and exchange or repair the product and offer an exchange or a credit as the case may be. Exception: items purchased in Bonpoint Outlet stores or from resellers cannot be returned, exchanged or refunded and cannot be the subject of after-sales service by Bonpoint.

ARTICLE 7. PERSONAL INFORMATION

The Customer may be required to register in Bonpoint's customer file and fill in the personal information collected concerning him. This information is strictly confidential. The lack of information implies the automatic rejection of the order. In accordance with Law No. 78-17 of January 6, 1978 relating to data processing, files and freedoms, the processing of personal information collected on the Site has been declared to the National Commission for 'Computing and Liberties. The Customer may receive e-mails from the Site providing information on BONPOINT's Products and activities. The Customer retains the right to refuse such communication either a priori by not giving his consent when creating his customer account, or at any time in the management pages of this account, or by clicking on the unsubscribe link. ARTICLE 8. INTELLECTUAL PROPERTY

The intellectual property rights attached to the Products sold by Maison Bonpoint are and remain the exclusive property of BONPOINT. All exploitation rights are exclusively reserved to him. Under these conditions, no one is authorized to reproduce, exploit, distribute or use in any capacity whatsoever, even partially, the intellectual property rights, without the prior written consent of BONPOINT. BONPOINT trademarks and logos are registered trademarks. Any reproduction therefore constitutes an infringement.

ARTICLE 9. MISCELLANEOUS PROVISIONS

Ownership of the Products is only transferred to the Customer after full payment of the price by the latter. The risks concerning the Products delivered (in particular loss, theft or deterioration) are nevertheless assumed by the Customer as soon as the products are handed over by the sales staff.

BONPOINT cannot be held responsible for the total or partial non-performance of its obligations, if it is due to the occurrence of an event of force majeure, of an unforeseeable, irrepressible and external nature for BONPOINT, as recognized by the case law of the French courts, making it impossible to perform the contract. In this case, BONPOINT will inform the Customer and offer him one or more alternative solutions. The occurrence of such an event constitutes a cause for the suspension and/or termination of BONPOINT's obligations towards the Customer, without compensation for the benefit of the Customer.

BONPOINT archives orders and payment receipts on a reliable and durable medium constituting a faithful copy, in accordance with the legislation in force.

BONPOINT's computerized registers are considered by the Parties as proof of communications, orders, payments and transactions between them.

The Customer accepts that all correspondence, communications or transmission of information between BONPOINT and itself by electronic means are presumed to have the same probative force as a written document on paper.

If one of the stipulations of the GCS turns out to be null with regard to a rule of law in force or a judicial decision that has become final, it would then be deemed unwritten, without however resulting in the nullity of the contract, nor altering the validity of its other stipulations.

ARTICLE 10. APPLICABLE LAW - COMPLAINT

The sale of Bonpoint products in Boutiques and these T&Cs are governed by French law.

In the event of a question or complaint, the Customer may first contact BONPOINT customer service by email or telephone using the contact details indicated in the FAQs of the e-commerce site on bonpoint.com or by post to the head office of the company BONPOINT 62 avenue d'Iéna 75116 PARIS France.

Otherwise, the competent courts are those of the jurisdiction of the place of residence of the Customer.
